The Chief Legal Officer and General Counsel is responsible for overseeing all of UAMPS’ legal functions. Responsible for representing the company in court actions, counseling and/or advising of rights, obligations, and legal issues, researching laws and judicial decisions, gathering information, conducting interviews, and organizing and presenting findings. Responsible for regulatory compliance of existing UAMPS generation facilities. Responsible for long range regulatory and legislative strategy for existing and new UAMPS resources.  Responsible for UAMPS Human Resources. Makes presentations to staff, courts, legal groups, or media. Maintains confidentiality of documents and case information. Prepares proposals, legal documents, reports, and correspondence. Appears in court as needed.

EXAMPLES OF ESSENTIAL DUTIES (Duties may include but are not limited to, the following)

Assumes responsibility for professionally and effectively representing the company.

  • Interviews involved participants. Records and analyzes pertinent information.
  • Discusses and recommends possible legal actions. Advises company on rights and obligations within the law.
  • Prepares and files documents on behalf of company.
  • Represents company in phone calls, meetings, depositions, and judicial proceedings. Follows established legal practices and courtroom rules.
  • Ensures ethical operations and billing practices.

Assumes responsibility for performing and overseeing research on legal issues, cases, or projects.

  • Uses appropriate sources, methods, and equipment to perform legal research and gather information. Follows established laws and procedures in accessing public and private records, case files, etc.
  • Reviews and analyzes case-related research performed by paralegals and other legal staff.
  • Submits documents containing research findings, interpretations, and recommendations.
  • Conducts interviews as needed to obtain or clarify information in the research process.
  • Maintains control and confidentiality of all research documents.
  • Supervises 6-8 outside legal firms providing outside counsel functions for various UAMPS legal services.

Assumes responsibility for writing and finalizing legal documents such as pleadings, subpoenas, affidavits, statements, complaints, petitions, motions, agreements, and basic legal correspondence.

  • Writes, compiles, and finalizes legal reports, opinions, documents, and correspondence.  Ensures documents are accurate and properly formatted.
  • Ensures correspondence and reports are accurate, factual, and timely.
  • Follows established policies and procedures in handling and submitting legal documents.
  • Ensures work of subordinates is legally compliant, accurate, and of high quality.

Assumes responsibility for performing investigations and preparing and presenting legal cases.

  • Gathers, organizes, analyzes, and disseminates information and evidence. Ensures proper procedures are followed and document control is effective. Follows rules of evidence.
  • Oversees the preparation of displays and exhibits to be used during trials or legal proceedings. Ensures evidence and exhibits are maintained under proper controls.
  • Attends proceedings and formulates tactics. Argues cases, working towards optimal outcome for company.
  • Assists legal team in preparing verbal arguments and analyzing best possible strategies.
  • Follows court rules, protocol, and the law.

Assumes responsibility for effectively supervising paralegals, law clerks and other assigned personnel.

  • Hires, supervises, trains, motivates, and directs legal personnel.  Provides assistance as needed.
  • Schedules personnel and assigns research and projects as appropriate.
  • Ensures personnel are well informed of policies and procedures.  
  • Performs regular performance appraisals. Provides suggestions for improved performance as appropriate. Handles corrective actions or terminations when required.
  • Ensures quality work and efficiency in operations. 

Assumes responsibility for establishing and maintaining good public relations with contacts, court officials, law enforcement, and other legal professionals.

  • Conducts interviews in a tactful, sensitive, and professional manner.
  • Communicates professionally, both orally and in writing. Effectively explains and presents legal arguments, ramifications, and legal plans.
  • Projects a professional reputation by following established procedures and rules.
  • Ensures the Company’s professional reputation is maintained both internally and externally.
  • Ensures all inquiries or problems are responded to effectively and in a timely manner.

Assumes responsibility for establishing and maintaining effective communication and coordination with Company personnel and management.

  • Assists and supports related departments as required.
  • Keeps management informed of area activities and of any significant concerns.
  • Attends and participates in meetings as required.
  • Completes reports, records, and other documentation as required.

Coordinates regulatory compliance issues associated with existing UAMPS resources and potential new resources under consideration with Manager of New Resources, Compliance Specialist, and Government Affairs Director.

Assumes responsibility for Human Resources for UAMPS with support from the Director of Member Relations and the Chief Financial Officer.

  • Duties include oversight of hiring, disciplinary, and termination decisions.
  • UAMPS staff training.

Assumes responsibility for related duties as required or assigned.

  • Keeps current on legal issues, trends, and changing laws and regulations by reviewing legal publications and sources, attending related
  • Completes special projects as assigned.


Education: Juris Doctorate from an American Bar Association or an Accredited Law School.

Experienced Required: Licensed member of the bar.  Meets state requirements for continuing legal education.
