Description
Join a leading global investment bank as a Capital Markets Lawyer (ECM), providing high-level legal support for equity capital market transactions. You will work on complex domestic and cross-border ECM deals, ensuring full compliance with financial regulations while managing documentation and negotiations. This position offers an opportunity to advise on high-profile listings, public offerings, and capital-raising activities within a dynamic, global environment.Key Responsibilities
- Provide legal and regulatory support for equity capital market transactions.
- Draft, review, and negotiate agreements and disclosure documents for public offerings and other capital-raising activities.
- Partner with Investment Banking, Compliance, and Risk teams to identify and mitigate legal risks.
- Liaise with external counsel, auditors, and regulators for documentation, filings, and approval processes.
- Conduct legal research and deliver clear, practical guidance on corporate, securities, and listing regulations.
- 4-8 years of post-qualification legal experience in corporate, capital markets, or financial regulatory matters.
- Strong drafting and advisory skills, with the ability to manage multiple stakeholders in a fast-paced environment.
- Bachelor's degree in Law or a related field; Japan or foreign legal qualification (Bengoshi not mandatory).
- Japanese: Native level (required for documentation and internal communication).
- English: Business level (for cross-border transactions and client engagement).
- Strong analytical and problem-solving abilities.
- Clear communication of complex legal concepts to both legal and non-legal stakeholders.
- Collaborative and adaptable mindset for working across global teams.
- Experience working at a securities firm, investment bank, or financial institution.
- Familiarity with ECM transactions and Japanese financial regulations.
- Experience handling cross-border legal matters.
